Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and Nexxis ("we", "our", or "us"), the operator of the document review service at https://nexxis.co.nz. By accessing or using Nexxis, you agree to be bound by these Terms. If you are using the service on behalf of an organisation, you confirm you have authority to bind that organisation. If you disagree with any part of these Terms, you may not access the service.

Description of Service

Nexxis provides a document review service for New Zealand building consent applications. The service analyses uploaded documentation against NZ Building Code requirements and generates gap analysis reports highlighting potential issues and missing documents. The findings are produced by automated analysis, including AI models, and are intended to assist a qualified professional's own review.

Nexxis is a consistency engine, not a decision-maker. It is a document review tool, not a substitute for professional advice.

Nexxis extracts evidence first, then matches against rules. It surfaces findings for human review—it does not make final decisions about designs or replace professional judgement.

  • Reports are intended to assist qualified professionals, not replace their judgement
  • Findings surface information for human review—they do not constitute approval, certification, or professional advice
  • Users remain responsible for the accuracy and completeness of their consent applications
  • Council Building Consent Authorities (BCAs) make all final determinations on consent applications
  • You must exercise your own professional judgement when reviewing and acting on any findings

Accounts and Access

To use the service you must create an account. You agree to:

  • Provide accurate and current account information
  • Keep your login credentials confidential and secure, and enable available security features such as two-factor authentication where offered
  • Take responsibility for all activity that occurs under your account
  • Notify us promptly at hello@nexxis.co.nz if you suspect unauthorised access to your account

We may suspend or terminate access to an account that breaches these Terms or is used unlawfully. You may close your account at any time by contacting us.

User Responsibilities

As a user of Nexxis, you agree to:

  • Provide accurate account information
  • Upload only documentation you have the right to share, and ensure you are entitled to disclose any personal information it contains
  • Use the service for lawful purposes only
  • Not attempt to circumvent security measures or access restrictions
  • Not use the service to develop a competing product, or reverse engineer the service except to the extent permitted by law
  • Review all findings and exercise professional judgement before acting on them

Intellectual Property

You retain ownership of all documentation you upload. By using our service, you grant us a limited licence to process your documents solely for the purpose of generating your reports. We do not claim ownership of your content. The Nexxis service, including its design, features, and methodology, remains our intellectual property. Reports we generate are provided for your use in preparing and reviewing your consent applications.

Payment Terms

Services are charged on a per-consent basis as displayed on our pricing page. Payments are processed securely by our payment provider, Stripe; we do not store your full card details. All prices are in New Zealand Dollars (NZD) and include GST where applicable.

  • Payment is required before report generation
  • Each consent review includes the stated number of free re-runs
  • Additional re-runs are charged at the stated rate
  • If a review cannot be completed due to a fault on our side, the credit for that review is refunded so you can start again
  • Other refunds are considered on a case-by-case basis

Nothing in this section limits any rights you have under the Consumer Guarantees Act 1993 (see Consumer Rights below).

Consumer Rights

Where you acquire the service as a consumer, you have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 that cannot be excluded. Nothing in these Terms limits or excludes those rights, and this disclaimer and the limitation of liability below apply subject to them.

Where you acquire the service for the purposes of a business, you agree that the guarantees in the Consumer Guarantees Act 1993 do not apply, and that sections 9, 12A, 13, and 14(1) of the Fair Trading Act 1986 do not apply, to the extent it is fair and reasonable that they do not, consistent with those Acts.

Limitation of Liability

Subject to the Consumer Rights section above, and to the maximum extent permitted by New Zealand law, Nexxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the specific service giving rise to the claim.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue aspects of the service with reasonable notice. Scheduled maintenance will be communicated in advance where possible.

Privacy

We handle personal information in accordance with the New Zealand Privacy Act 2020, as set out in our Privacy Policy, which forms part of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our website, and the "Last updated" date above will always show the current version. Continued use of the service after changes constitutes acceptance of the updated Terms.
